These Terms of Service ("Terms") are a binding agreement between you and SkillMatch LLC ("SkillMatch," "we," "us," or "our"). By creating an account, accessing the Service, or tapping an acceptance button, you agree to these Terms.
1. Eligibility and Account Responsibility
You must be at least 18 years old and able to form a binding contract. If you use SkillMatch for a business, you represent that you have authority to act for that business.
You are responsible for maintaining accurate account information, protecting your sign-in credentials, and notifying us promptly if you believe your account has been compromised. You are responsible for activity performed through your account unless prohibited by law.
2. SkillMatch Is a Marketplace
SkillMatch provides technology that helps users find, communicate with, and transact with one another. SkillMatch is not the employer, contractor, agent, broker, insurer, or guarantor of any user.
Users decide whether to communicate, hire, work with, buy from, or sell to another user. Unless SkillMatch expressly agrees otherwise in writing, any agreement for work, goods, or services is solely between the users involved.
3. Safety, Qualifications, and Due Diligence
Projects, jobs, goods, and services may involve risk. You are responsible for evaluating other users, work sites, listings, and transaction terms before proceeding.
You are responsible for complying with applicable laws, permits, licenses, safety requirements, insurance requirements, and professional obligations. You should independently verify any information important to your decision.
SkillMatch may offer identity checks, insurance-certificate review, status indicators, or other trust-and-safety tools. These tools are limited and may rely on third-party services, automated extraction, or information submitted by users. They are not background checks, legal advice, insurance advice, or guarantees that a person, document, business, listing, or service is accurate, qualified, licensed, insured, safe, or suitable.
4. Listings, Projects, Messages, and User Content
You are responsible for the content you submit, including profiles, projects, bids, listings, offers, messages, reviews, photos, videos, and documents. You represent that you have the rights needed to submit that content and that it is accurate to the best of your knowledge.
You grant SkillMatch a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, and use your content as reasonably necessary to operate, secure, improve, and promote the Service. This license ends when the content is deleted unless continued retention is reasonably necessary for legal, safety, payment, fraud-prevention, or operational purposes.
5. AI-Assisted Features
SkillMatch may provide AI-assisted suggestions, document extraction, summaries, and operations tools. AI-assisted output may be incomplete, inaccurate, or inappropriate for your circumstances.
You are responsible for reviewing and editing AI-assisted output before using or publishing it. Do not rely on AI-assisted output as professional, legal, tax, insurance, financial, or safety advice.
6. Marketplace Payments, Fees, Taxes, and Payouts
Marketplace payment flows may be processed by Stripe or another payment provider. By initiating a transaction, you authorize the applicable charges, fees, tax calculations, refunds, reversals, and payout instructions needed to complete the transaction.
Sellers are responsible for completing payout onboarding and maintaining accurate payout information. Buyers are responsible for providing accurate payment and delivery-address information. SkillMatch may collect a seller fee, withhold applicable sales tax, delay or reverse transactions, or restrict payouts when reasonably necessary to process a transaction, respond to a dispute, prevent fraud, or comply with law.
Users remain responsible for their own tax obligations, reporting, permits, and professional advice. Any displayed tax calculation or status is provided to support transaction processing and does not replace advice from a qualified tax professional.
7. Premium Subscription
SkillMatch Premium is an auto-renewable subscription purchased through Apple's in-app purchase system. Pricing, billing period, renewal, cancellation, and refund handling are governed by the terms shown during purchase and Apple's applicable policies.
You can manage or cancel Premium through your Apple account settings. Deleting your SkillMatch account does not automatically cancel an Apple subscription.
8. Prohibited Conduct
You may not:
- Use SkillMatch for fraud, deception, harassment, threats, discrimination, illegal activity, or unsafe conduct
- Submit false, misleading, infringing, or unauthorized content
- Misrepresent your identity, qualifications, licenses, insurance, goods, services, or transaction terms
- Attempt to bypass applicable fees, taxes, payment controls, or safety measures
- Scrape, reverse engineer, disrupt, overload, or gain unauthorized access to the Service
- Use another person's account or payment method without authorization
- Use the Service in a way that violates another person's rights or applicable law
9. Third-Party Services
SkillMatch relies on third-party services for features such as authentication, hosting, storage, analytics, notifications, AI-assisted processing, subscriptions, payments, identity checks, sales-tax calculations, and payouts. Your use of third-party services may be subject to their terms and privacy policies.
SkillMatch is not responsible for a third party's acts, omissions, availability, or independent decisions.
10. Account Suspension, Termination, and Deletion
We may restrict, suspend, or terminate access to the Service, remove content, or limit transactions when reasonably necessary to enforce these Terms, comply with law, address risk, or protect SkillMatch and its users.
You can delete your account from Billing & Settings > Account > Delete Account. Some records may be retained when reasonably necessary for legal, payment, tax, accounting, fraud-prevention, safety, or dispute-resolution purposes.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available." SkillMatch disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
SkillMatch does not guarantee that the Service will be uninterrupted or error-free, or that users, listings, projects, goods, services, documents, status indicators, or AI-assisted output will be accurate, safe, legal, available, or suitable.
12. Limitation of Liability
To the maximum extent permitted by law, SkillMatch and its members, managers, employees, contractors, agents, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, personal injury, property damage, or losses arising from transactions or interactions between users.
To the maximum extent permitted by law, the total liability of SkillMatch and the parties listed above for claims arising from or related to the Service will not exceed the greater of the amount you paid directly to SkillMatch during the three months before the event giving rise to the claim or one hundred U.S. dollars.
Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless SkillMatch and its members, managers, employees, contractors, agents, and affiliates from claims, liabilities, damages, losses, and expenses arising from your content, your use of the Service, your interactions or transactions with other users, or your violation of these Terms or applicable law.
14. Disputes and Governing Law
Before filing a claim, contact theskillmatchapp@gmail.com and provide a written description of the issue so the parties can attempt to resolve it informally.
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where another law must apply. Any dispute that is not resolved informally will be handled in a court of competent jurisdiction unless the parties separately agree to another dispute-resolution process.
15. Changes to These Terms
We may update these Terms from time to time. If a change requires your acceptance, we will present the updated Terms in the Service. Your continued use of the Service after an applicable effective date constitutes acceptance where permitted by law.
